GROOM TERMS OF USE

1. Contractual Relationship

1.1 These Terms of Use (“Terms”) govern your access to and use of Groom’s applications, websites, content, products, and services (“Services”) made available by Boldinc (Pty) Ltd, trading as “Groom” or “hellogroom”, a private company registered in South Africa (Registration No. 2018/208122/07) (“Groom”, “we”, “us”, or “our”).

1.2 Groom operates a digital marketplace that connects property owners, property managers, and businesses with vetted independent service providers for home and commercial maintenance and related services.

1.3 By creating an account, accessing, or using the Services as a customer, service provider, or partner, you agree to be bound by these Terms, our Privacy & Cookies Policy, and our Data Processing Agreement, each of which forms part of this agreement.

1.4 If you access or use the Services on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

1.5 Groom acts solely as a marketplace facilitator. All service providers are independent contractors. Groom does not perform, supervise, or guarantee any services rendered.

2. Acceptance and Changes to Terms

2.1 Your access to or use of the Services constitutes acceptance of these Terms.

2.2 If you do not agree to these Terms, you may not use the Services.

2.3 Groom may amend these Terms from time to time. Updated Terms will be posted on the platform. Continued use of the Services after publication constitutes acceptance of the revised Terms.

2.4 Groom reserves the right to suspend, restrict, or terminate access to the Services at its discretion, subject to applicable law.

3. The Services

3.1 Groom provides a technology platform that enables customers to request services including, but not limited to, plumbing, electrical work, renovations, cleaning, gardening, logistics, and other maintenance-related services.

3.2 Groom may connect a customer with up to five prospective service providers per request, each identified by a unique Groom code.

3.3 Service providers are independent small and medium enterprises (“SMEs”) and remain solely responsible for:

  • the quality of their work,
  • compliance with applicable laws and regulations,
  • warranties, guarantees, and workmanship.

3.4 Groom does not assume responsibility or liability for services rendered by service providers or outcomes achieved.

4. Commercial Model, Fees, and Escrow

4.1 Customer Access

Customers may submit service requests free of charge. Groom does not charge customers to access the platform or request quotations.

4.2 Lead Generation

Service providers pay a fee per lead to access customer service requests.

4.3 Escrow and Payment Processing

(a) Once a quotation is accepted, customer payments are deposited into Groom’s secure escrow account.
(b) Upon completion of the work and customer sign-off, Groom deducts an 18% facilitation fee and releases the balance to the service provider.
(c) If work is incomplete, disputed, or defective, Groom may withhold payment and may appoint an alternate contractor to complete the work before releasing any funds.

4.4 Dispute protections apply only to projects processed through Groom’s escrow system.

5. Independent Partners and Third-Party Services

5.1 Groom may partner with independent third-party providers, including but not limited to insurance companies, lenders, hardware suppliers, and compliance or accounting firms.

5.2 These partners operate independently. Groom does not provide, guarantee, or assume liability for any third-party products or services.

5.3 Any agreements entered into with third-party providers are strictly between you and the relevant provider.

6. Partner Account Registration, Verification, and Credit Assessment

6.1 To access certain features of the Services, you must register an account and provide accurate, complete, and up-to-date personal and/or business information.

6.2 By registering an account, you acknowledge and agree that Groom may collect, process, and verify the information you submit for purposes including:

  • regulatory compliance,
  • risk management,
  • fraud prevention,
  • identity verification, and
  • credit assessment (where applicable).

6.3 Groom reserves the right to conduct Know Your Customer (KYC) and Customer Due Diligence (CDD) procedures, which may include:

  • verification of company registration details,
  • confirmation of beneficial ownership,
  • verification of directors, shareholders, or authorised representatives,
  • screening against regulatory or compliance databases.

6.4 Where relevant, Groom may conduct credit checks and creditworthiness assessments through recognised credit bureaus and lawful third-party verification providers.

6.5 By creating an account, you expressly authorise Groom to obtain, verify, and process such information from:

  • the details you provide, and
  • lawful third-party sources, for the purposes described above.

6.6 Groom reserves the right to approve, decline, suspend, restrict, or terminate access to the Services based on the outcome of verification, compliance screening, or credit assessments.

6.7 All personal and business information collected will be processed and stored in accordance with applicable data protection and privacy legislation, including POPIA.

7. Financial Services Facilitation

7.1 Groom may facilitate access to purchase order-based loans and other financial products through licensed third-party financial services providers.

7.2 Groom acts solely as a facilitator and is not the lender, credit provider, or financial advisor.

7.3 Loan repayments may be automatically deducted via Groom’s escrow system at the time funds are released.

7.4 All lending terms are governed exclusively by the financial services provider’s agreements. Groom assumes no liability for lending decisions, approvals, or obligations.

8. License and Platform Use

8.1 Subject to compliance with these Terms, Groom grants you a limited, non-exclusive, revocable license to access and use the Services for lawful property maintenance purposes.

8.2 You may not:

  • misuse the Services,
  • scrape data,
  • reverse engineer the platform,
  • attempt unauthorised access,
  • use the platform for unlawful or fraudulent purposes.

8.3 Groom may suspend or terminate accounts for misuse or non-compliance.

9. User Conduct and Communications

9.1 You must be at least 18 years old to register.

9.2 You are responsible for safeguarding your login credentials and all activity conducted under your account.

9.3 You consent to receive SMS, email, push notifications, and platform communications relating to service delivery, account activity, and operational notices. Opting out may affect service functionality.

9.4 Promotional codes are discretionary and may be withdrawn if misused.

9.5 User-generated content remains your property, but you grant Groom a non-exclusive, royalty-free license to use it for platform improvement, analytics, and marketing.

10. Ownership and Intellectual Property

10.1 The Groom platform, trademarks, content, and intellectual property remain the exclusive property of Groom and its licensors.

10.2 No rights are transferred other than the limited license granted in these Terms.

11. Limitation of Liability

11.1 To the maximum extent permitted by law, Groom disclaims liability for indirect, incidental, or consequential damages.

11.2 Groom is not liable for:

  • service provider performance,
  • third-party conduct,
  • delays, interruptions, or technical failures.

11.3 Nothing in these Terms limits consumer rights under applicable South African law.

12. Indemnity

You agree to indemnify and hold Groom harmless from claims, damages, or losses arising from your:

  • use of the Services,
  • breach of these Terms,
  • violation of third-party rights.

13. Dispute Resolution and Arbitration

13.1 Disputes may first be referred to Groom for facilitation, including the appointment of an independent expert or alternate contractor.

13.2 If unresolved, disputes shall be submitted to arbitration under AFSA rules.

13.3 Arbitration shall be conducted through law firms appointed by Groom.
13.4 Arbitration fees shall be shared equally between the customer and the service provider.
13.5 Arbitration outcomes are final and binding.
13.6 Courts may only be approached for interim relief prior to arbitration outcomes being issued.

14. Privacy and Security

14.1 Groom processes personal data in accordance with its Privacy & Cookies Policy.

14.2 Groom implements industry-standard security measures but does not guarantee absolute protection against unauthorised access.

15. Notices

15.1 Notices may be delivered via email, SMS, push notification, platform alert, or to your registered address.

15.2 Legal notices to Groom may be sent to its registered office in Sandton, South Africa.

16. Assignment

You may not assign these Terms without Groom’s consent. Groom may assign these Terms to affiliates, successors, or acquirers.

17. General

17.1 If any provision is invalid, the remainder remains enforceable.
17.2 These Terms constitute the entire agreement between you and Groom.
17.3 South African law governs these Terms.

6.2 By registering an account, you acknowledge and agree that Groom may collect, process, and verify the information you submit for purposes including:

  • regulatory compliance,
  • risk management,

  • identity verification, and

6.3 Groom reserves the right to conduct Know Your Customer (KYC) and Customer Due Diligence (CDD) procedures, which may include:

4.2 Lead Generation

Service providers pay a fee per lead to access customer service requests.

(a) Once a quotation is accepted, customer payments are deposited into Groom’s secure escrow account.
(b) Upon completion of the work and customer sign-off, Groom deducts an 18% facilitation fee and releases the balance to the service provider.

4.1 Customer Access

Customers may submit service requests free of charge. Groom does not charge customers to access the platform or request quotations.

4.2 Lead Generation

Service providers pay a fee per lead to access customer service requests.

4.3 Escrow and Payment Processing

(a) Once a quotation is accepted, customer payments are deposited into Groom’s secure escrow account.
(b) Upon completion of the work and customer sign-off, Groom deducts an 18% facilitation fee and releases the balance to the service provider.
(c) If work is incomplete, disputed, or defective, Groom may withhold payment and may appoint an alternate contractor to complete the work before releasing any funds.

4.4 Dispute protections apply only to projects processed through Groom’s escrow system.

5.1 Groom may partner with independent third-party providers, including but not limited to insurance companies, lenders, hardware suppliers, and compliance or accounting firms.

5.3 Any agreements entered into with third-party providers are strictly between you and the relevant provider.

6.2 By registering an account, you acknowledge and agree that Groom may collect, process, and verify the information you submit for purposes including:

  • regulatory compliance,
  • risk management,

1.2 Groom operates a digital marketplace that connects property owners, property managers, and businesses with vetted independent service providers for home and commercial maintenance and related services.

1.3 By creating an account, accessing, or using the Services as a customer, service provider, or partner, you agree to be bound by these Terms, our Privacy & Cookies Policy, and our Data Processing Agreement, each of which forms part of this agreement.

1.4 If you access or use the Services on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

1.5 Groom acts solely as a marketplace facilitator. All service providers are independent contractors. Groom does not perform, supervise, or guarantee any services rendered.

2. Acceptance and Changes to Terms

2.1 Your access to or use of the Services constitutes acceptance of these Terms.

2.2 If you do not agree to these Terms, you may not use the Services.

2.3 Groom may amend these Terms from time to time. Updated Terms will be posted on the platform. Continued use of the Services after publication constitutes acceptance of the revised Terms.

2.4 Groom reserves the right to suspend, restrict, or terminate access to the Services at its discretion, subject to applicable law.

3. The Services

3.1 Groom provides a technology platform that enables customers to request services including, but not limited to, plumbing, electrical work, renovations, cleaning, gardening, logistics, and other maintenance-related services.

3.2 Groom may connect a customer with up to five prospective service providers per request, each identified by a unique Groom code.

3.3 Service providers are independent small and medium enterprises (“SMEs”) and remain solely responsible for:

  • the quality of their work,
  • compliance with applicable laws and regulations,
  • warranties, guarantees, and workmanship.

3.4 Groom does not assume responsibility or liability for services rendered by service providers or outcomes achieved.

4. Commercial Model, Fees, and Escrow

4.1 Customer Access

Customers may submit service requests free of charge. Groom does not charge customers to access the platform or request quotations.

4.2 Lead Generation

Service providers pay a fee per lead to access customer service requests.

4.3 Escrow and Payment Processing

(a) Once a quotation is accepted, customer payments are deposited into Groom’s secure escrow account.
(b) Upon completion of the work and customer sign-off, Groom deducts an 18% facilitation fee and releases the balance to the service provider.
(c) If work is incomplete, disputed, or defective, Groom may withhold payment and may appoint an alternate contractor to complete the work before releasing any funds.

4.4 Dispute protections apply only to projects processed through Groom’s escrow system.

5. Independent Partners and Third-Party Services

5.1 Groom may partner with independent third-party providers, including but not limited to insurance companies, lenders, hardware suppliers, and compliance or accounting firms.

5.2 These partners operate independently. Groom does not provide, guarantee, or assume liability for any third-party products or services.

5.3 Any agreements entered into with third-party providers are strictly between you and the relevant provider.

6. Partner Account Registration, Verification, and Credit Assessment

6.1 To access certain features of the Services, you must register an account and provide accurate, complete, and up-to-date personal and/or business information.

6.2 By registering an account, you acknowledge and agree that Groom may collect, process, and verify the information you submit for purposes including:

  • regulatory compliance,
  • risk management,
  • fraud prevention,
  • identity verification, and
  • credit assessment (where applicable).

6.3 Groom reserves the right to conduct Know Your Customer (KYC) and Customer Due Diligence (CDD) procedures, which may include:

  • verification of company registration details,
  • confirmation of beneficial ownership,
  • verification of directors, shareholders, or authorised representatives,
  • screening against regulatory or compliance databases.

6.4 Where relevant, Groom may conduct credit checks and creditworthiness assessments through recognised credit bureaus and lawful third-party verification providers.

6.5 By creating an account, you expressly authorise Groom to obtain, verify, and process such information from:

  • the details you provide, and
  • lawful third-party sources, for the purposes described above.

6.6 Groom reserves the right to approve, decline, suspend, restrict, or terminate access to the Services based on the outcome of verification, compliance screening, or credit assessments.

6.7 All personal and business information collected will be processed and stored in accordance with applicable data protection and privacy legislation, including POPIA.

7. Financial Services Facilitation

7.1 Groom may facilitate access to purchase order-based loans and other financial products through licensed third-party financial services providers.

7.2 Groom acts solely as a facilitator and is not the lender, credit provider, or financial advisor.

7.3 Loan repayments may be automatically deducted via Groom’s escrow system at the time funds are released.

7.4 All lending terms are governed exclusively by the financial services provider’s agreements. Groom assumes no liability for lending decisions, approvals, or obligations.

8. License and Platform Use

8.1 Subject to compliance with these Terms, Groom grants you a limited, non-exclusive, revocable license to access and use the Services for lawful property maintenance purposes.

8.2 You may not:

  • misuse the Services,
  • scrape data,
  • reverse engineer the platform,
  • attempt unauthorised access,
  • use the platform for unlawful or fraudulent purposes.

8.3 Groom may suspend or terminate accounts for misuse or non-compliance.

9. User Conduct and Communications

9.1 You must be at least 18 years old to register.

9.2 You are responsible for safeguarding your login credentials and all activity conducted under your account.

9.3 You consent to receive SMS, email, push notifications, and platform communications relating to service delivery, account activity, and operational notices. Opting out may affect service functionality.

9.4 Promotional codes are discretionary and may be withdrawn if misused.

9.5 User-generated content remains your property, but you grant Groom a non-exclusive, royalty-free license to use it for platform improvement, analytics, and marketing.

10. Ownership and Intellectual Property

10.1 The Groom platform, trademarks, content, and intellectual property remain the exclusive property of Groom and its licensors.

10.2 No rights are transferred other than the limited license granted in these Terms.

11. Limitation of Liability

11.1 To the maximum extent permitted by law, Groom disclaims liability for indirect, incidental, or consequential damages.

11.2 Groom is not liable for:

  • service provider performance,
  • third-party conduct,
  • delays, interruptions, or technical failures.

11.3 Nothing in these Terms limits consumer rights under applicable South African law.

12. Indemnity

You agree to indemnify and hold Groom harmless from claims, damages, or losses arising from your:

  • use of the Services,
  • breach of these Terms,
  • violation of third-party rights.

13. Dispute Resolution and Arbitration

13.1 Disputes may first be referred to Groom for facilitation, including the appointment of an independent expert or alternate contractor.

13.2 If unresolved, disputes shall be submitted to arbitration under AFSA rules.

13.3 Arbitration shall be conducted through law firms appointed by Groom.
13.4 Arbitration fees shall be shared equally between the customer and the service provider.
13.5 Arbitration outcomes are final and binding.
13.6 Courts may only be approached for interim relief prior to arbitration outcomes being issued.

14. Privacy and Security

14.1 Groom processes personal data in accordance with its Privacy & Cookies Policy.

14.2 Groom implements industry-standard security measures but does not guarantee absolute protection against unauthorised access.

15. Notices

15.1 Notices may be delivered via email, SMS, push notification, platform alert, or to your registered address.

15.2 Legal notices to Groom may be sent to its registered office in Sandton, South Africa.

16. Assignment

You may not assign these Terms without Groom’s consent. Groom may assign these Terms to affiliates, successors, or acquirers.

17. General

17.1 If any provision is invalid, the remainder remains enforceable.
17.2 These Terms constitute the entire agreement between you and Groom.
17.3 South African law governs these Terms.

6. Partner Account Registration, Verification, and Credit Assessment

6.1 To access certain features of the Services, you must register an account and provide accurate, complete, and up-to-date personal and/or business information.

6.2 By registering an account, you acknowledge and agree that Groom may collect, process, and verify the information you submit for purposes including:

  • regulatory compliance,
  • risk management,
  • fraud prevention,
  • identity verification, and
  • credit assessment (where applicable).

6.3 Groom reserves the right to conduct Know Your Customer (KYC) and Customer Due Diligence (CDD) procedures, which may include:

  • verification of company registration details,
  • confirmation of beneficial ownership,
  • verification of directors, shareholders, or authorised representatives,
  • screening against regulatory or compliance databases.

6.4 Where relevant, Groom may conduct credit checks and creditworthiness assessments through recognised credit bureaus and lawful third-party verification providers.

6.5 By creating an account, you expressly authorise Groom to obtain, verify, and process such information from:

  • the details you provide, and
  • lawful third-party sources, for the purposes described above.

6.6 Groom reserves the right to approve, decline, suspend, restrict, or terminate access to the Services based on the outcome of verification, compliance screening, or credit assessments.

6.7 All personal and business information collected will be processed and stored in accordance with applicable data protection and privacy legislation, including POPIA.

7.1 Groom may facilitate access to purchase order-based loans and other financial products through licensed third-party financial services providers.

14.2 Groom implements industry-standard security measures but does not guarantee absolute protection against unauthorised access.

15.1 Notices may be delivered via email, SMS, push notification, platform alert, or to your registered address.

15.2 Legal notices to Groom may be sent to its registered office in Sandton, South Africa.

16. Assignment

You may not assign these Terms without Groom’s consent. Groom may assign these Terms to affiliates, successors, or acquirers.

  • the quality of their work,
  • compliance with applicable laws and regulations,
  • warranties, guarantees, and workmanship.

3.4 Groom does not assume responsibility or liability for services rendered by service providers or outcomes achieved.

4. Commercial Model, Fees, and Escrow

4.1 Customer Access

Customers may submit service requests free of charge. Groom does not charge customers to access the platform or request quotations.

4.2 Lead Generation

Service providers pay a fee per lead to access customer service requests.

4.3 Escrow and Payment Processing

(a) Once a quotation is accepted, customer payments are deposited into Groom’s secure escrow account.
(b) Upon completion of the work and customer sign-off, Groom deducts an 18% facilitation fee and releases the balance to the service provider.
(c) If work is incomplete, disputed, or defective, Groom may withhold payment and may appoint an alternate contractor to complete the work before releasing any funds.

Customers may submit service requests free of charge. Groom does not charge customers to access the platform or request quotations.

4.2 Lead Generation

Service providers pay a fee per lead to access customer service requests.

4.3 Escrow and Payment Processing

(a) Once a quotation is accepted, customer payments are deposited into Groom’s secure escrow account.
(b) Upon completion of the work and customer sign-off, Groom deducts an 18% facilitation fee and releases the balance to the service provider.
(c) If work is incomplete, disputed, or defective, Groom may withhold payment and may appoint an alternate contractor to complete the work before releasing any funds.

4.4 Dispute protections apply only to projects processed through Groom’s escrow system.

5.1 Groom may partner with independent third-party providers, including but not limited to insurance companies, lenders, hardware suppliers, and compliance or accounting firms.

6.2 By registering an account, you acknowledge and agree that Groom may collect, process, and verify the information you submit for purposes including:

  • regulatory compliance,
  • risk management,

1. Contractual Relationship

1.1 These Terms of Use (“Terms”) govern your access to and use of Groom’s applications, websites, content, products, and services (“Services”) made available by Boldinc (Pty) Ltd, trading as “Groom” or “hellogroom”, a private company registered in South Africa (Registration No. 2018/208122/07) (“Groom”, “we”, “us”, or “our”).

1.2 Groom operates a digital marketplace that connects property owners, property managers, and businesses with vetted independent service providers for home and commercial maintenance and related services.

1.3 By creating an account, accessing, or using the Services as a customer, service provider, or partner, you agree to be bound by these Terms, our Privacy & Cookies Policy, and our Data Processing Agreement, each of which forms part of this agreement.

1.4 If you access or use the Services on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

1.5 Groom acts solely as a marketplace facilitator. All service providers are independent contractors. Groom does not perform, supervise, or guarantee any services rendered.

2. Acceptance and Changes to Terms

2.1 Your access to or use of the Services constitutes acceptance of these Terms.

2.2 If you do not agree to these Terms, you may not use the Services.

2.3 Groom may amend these Terms from time to time. Updated Terms will be posted on the platform. Continued use of the Services after publication constitutes acceptance of the revised Terms.

2.4 Groom reserves the right to suspend, restrict, or terminate access to the Services at its discretion, subject to applicable law.

3. The Services

3.1 Groom provides a technology platform that enables customers to request services including, but not limited to, plumbing, electrical work, renovations, cleaning, gardening, logistics, and other maintenance-related services.

3.2 Groom may connect a customer with up to five prospective service providers per request, each identified by a unique Groom code.

3.3 Service providers are independent small and medium enterprises (“SMEs”) and remain solely responsible for:

  • the quality of their work,
  • compliance with applicable laws and regulations,
  • warranties, guarantees, and workmanship.

3.4 Groom does not assume responsibility or liability for services rendered by service providers or outcomes achieved.

4. Commercial Model, Fees, and Escrow

4.1 Customer Access

Customers may submit service requests free of charge. Groom does not charge customers to access the platform or request quotations.

4.2 Lead Generation

Service providers pay a fee per lead to access customer service requests.

4.3 Escrow and Payment Processing

(a) Once a quotation is accepted, customer payments are deposited into Groom’s secure escrow account.
(b) Upon completion of the work and customer sign-off, Groom deducts an 18% facilitation fee and releases the balance to the service provider.
(c) If work is incomplete, disputed, or defective, Groom may withhold payment and may appoint an alternate contractor to complete the work before releasing any funds.

4.4 Dispute protections apply only to projects processed through Groom’s escrow system.

5. Independent Partners and Third-Party Services

5.1 Groom may partner with independent third-party providers, including but not limited to insurance companies, lenders, hardware suppliers, and compliance or accounting firms.

5.2 These partners operate independently. Groom does not provide, guarantee, or assume liability for any third-party products or services.

5.3 Any agreements entered into with third-party providers are strictly between you and the relevant provider.

6. Partner Account Registration, Verification, and Credit Assessment

6.1 To access certain features of the Services, you must register an account and provide accurate, complete, and up-to-date personal and/or business information.

6.2 By registering an account, you acknowledge and agree that Groom may collect, process, and verify the information you submit for purposes including:

  • regulatory compliance,
  • risk management,
  • fraud prevention,
  • identity verification, and
  • credit assessment (where applicable).

6.3 Groom reserves the right to conduct Know Your Customer (KYC) and Customer Due Diligence (CDD) procedures, which may include:

  • verification of company registration details,
  • confirmation of beneficial ownership,
  • verification of directors, shareholders, or authorised representatives,
  • screening against regulatory or compliance databases.

6.4 Where relevant, Groom may conduct credit checks and creditworthiness assessments through recognised credit bureaus and lawful third-party verification providers.

6.5 By creating an account, you expressly authorise Groom to obtain, verify, and process such information from:

  • the details you provide, and
  • lawful third-party sources, for the purposes described above.

6.6 Groom reserves the right to approve, decline, suspend, restrict, or terminate access to the Services based on the outcome of verification, compliance screening, or credit assessments.

6.7 All personal and business information collected will be processed and stored in accordance with applicable data protection and privacy legislation, including POPIA.

7. Financial Services Facilitation

7.1 Groom may facilitate access to purchase order-based loans and other financial products through licensed third-party financial services providers.

7.2 Groom acts solely as a facilitator and is not the lender, credit provider, or financial advisor.

7.3 Loan repayments may be automatically deducted via Groom’s escrow system at the time funds are released.

7.4 All lending terms are governed exclusively by the financial services provider’s agreements. Groom assumes no liability for lending decisions, approvals, or obligations.

8. License and Platform Use

8.1 Subject to compliance with these Terms, Groom grants you a limited, non-exclusive, revocable license to access and use the Services for lawful property maintenance purposes.

8.2 You may not:

  • misuse the Services,
  • scrape data,
  • reverse engineer the platform,
  • attempt unauthorised access,
  • use the platform for unlawful or fraudulent purposes.

8.3 Groom may suspend or terminate accounts for misuse or non-compliance.

9. User Conduct and Communications

9.1 You must be at least 18 years old to register.

9.2 You are responsible for safeguarding your login credentials and all activity conducted under your account.

9.3 You consent to receive SMS, email, push notifications, and platform communications relating to service delivery, account activity, and operational notices. Opting out may affect service functionality.

9.4 Promotional codes are discretionary and may be withdrawn if misused.

9.5 User-generated content remains your property, but you grant Groom a non-exclusive, royalty-free license to use it for platform improvement, analytics, and marketing.

10. Ownership and Intellectual Property

10.1 The Groom platform, trademarks, content, and intellectual property remain the exclusive property of Groom and its licensors.

10.2 No rights are transferred other than the limited license granted in these Terms.

11. Limitation of Liability

11.1 To the maximum extent permitted by law, Groom disclaims liability for indirect, incidental, or consequential damages.

11.2 Groom is not liable for:

  • service provider performance,
  • third-party conduct,
  • delays, interruptions, or technical failures.

11.3 Nothing in these Terms limits consumer rights under applicable South African law.

12. Indemnity

You agree to indemnify and hold Groom harmless from claims, damages, or losses arising from your:

  • use of the Services,
  • breach of these Terms,
  • violation of third-party rights.

13. Dispute Resolution and Arbitration

13.1 Disputes may first be referred to Groom for facilitation, including the appointment of an independent expert or alternate contractor.

13.2 If unresolved, disputes shall be submitted to arbitration under AFSA rules.

13.3 Arbitration shall be conducted through law firms appointed by Groom.
13.4 Arbitration fees shall be shared equally between the customer and the service provider.
13.5 Arbitration outcomes are final and binding.
13.6 Courts may only be approached for interim relief prior to arbitration outcomes being issued.

14. Privacy and Security

14.1 Groom processes personal data in accordance with its Privacy & Cookies Policy.

14.2 Groom implements industry-standard security measures but does not guarantee absolute protection against unauthorised access.

15. Notices

15.1 Notices may be delivered via email, SMS, push notification, platform alert, or to your registered address.

15.2 Legal notices to Groom may be sent to its registered office in Sandton, South Africa.

16. Assignment

You may not assign these Terms without Groom’s consent. Groom may assign these Terms to affiliates, successors, or acquirers.

17. General

17.1 If any provision is invalid, the remainder remains enforceable.
17.2 These Terms constitute the entire agreement between you and Groom.
17.3 South African law governs these Terms.

(c) If work is incomplete, disputed, or defective, Groom may withhold payment and may appoint an alternate contractor to complete the work before releasing any funds.

4.4 Dispute protections apply only to projects processed through Groom’s escrow system.

5. Independent Partners and Third-Party Services

5.1 Groom may partner with independent third-party providers, including but not limited to insurance companies, lenders, hardware suppliers, and compliance or accounting firms.

5.2 These partners operate independently. Groom does not provide, guarantee, or assume liability for any third-party products or services.

5.3 Any agreements entered into with third-party providers are strictly between you and the relevant provider.

6. Partner Account Registration, Verification, and Credit Assessment

6.1 To access certain features of the Services, you must register an account and provide accurate, complete, and up-to-date personal and/or business information.

6.2 By registering an account, you acknowledge and agree that Groom may collect, process, and verify the information you submit for purposes including:

  • regulatory compliance,
  • risk management,
  • fraud prevention,
  • identity verification, and
  • credit assessment (where applicable).

6.3 Groom reserves the right to conduct Know Your Customer (KYC) and Customer Due Diligence (CDD) procedures, which may include:

  • verification of company registration details,
  • confirmation of beneficial ownership,
  • verification of directors, shareholders, or authorised representatives,
  • screening against regulatory or compliance databases.

6.4 Where relevant, Groom may conduct credit checks and creditworthiness assessments through recognised credit bureaus and lawful third-party verification providers.

6.5 By creating an account, you expressly authorise Groom to obtain, verify, and process such information from:

  • the details you provide, and
  • lawful third-party sources, for the purposes described above.

6.6 Groom reserves the right to approve, decline, suspend, restrict, or terminate access to the Services based on the outcome of verification, compliance screening, or credit assessments.

6.7 All personal and business information collected will be processed and stored in accordance with applicable data protection and privacy legislation, including POPIA.

7. Financial Services Facilitation

7.1 Groom may facilitate access to purchase order-based loans and other financial products through licensed third-party financial services providers.

7.2 Groom acts solely as a facilitator and is not the lender, credit provider, or financial advisor.

7.3 Loan repayments may be automatically deducted via Groom’s escrow system at the time funds are released.

7.4 All lending terms are governed exclusively by the financial services provider’s agreements. Groom assumes no liability for lending decisions, approvals, or obligations.

8. License and Platform Use

8.1 Subject to compliance with these Terms, Groom grants you a limited, non-exclusive, revocable license to access and use the Services for lawful property maintenance purposes.

8.2 You may not:

  • misuse the Services,
  • scrape data,
  • reverse engineer the platform,
  • attempt unauthorised access,
  • use the platform for unlawful or fraudulent purposes.

8.3 Groom may suspend or terminate accounts for misuse or non-compliance.

9. User Conduct and Communications

9.1 You must be at least 18 years old to register.

9.2 You are responsible for safeguarding your login credentials and all activity conducted under your account.

9.3 You consent to receive SMS, email, push notifications, and platform communications relating to service delivery, account activity, and operational notices. Opting out may affect service functionality.

9.4 Promotional codes are discretionary and may be withdrawn if misused.

9.5 User-generated content remains your property, but you grant Groom a non-exclusive, royalty-free license to use it for platform improvement, analytics, and marketing.

10. Ownership and Intellectual Property

10.1 The Groom platform, trademarks, content, and intellectual property remain the exclusive property of Groom and its licensors.

10.2 No rights are transferred other than the limited license granted in these Terms.

11. Limitation of Liability

11.1 To the maximum extent permitted by law, Groom disclaims liability for indirect, incidental, or consequential damages.

11.2 Groom is not liable for:

  • service provider performance,
  • third-party conduct,
  • delays, interruptions, or technical failures.

11.3 Nothing in these Terms limits consumer rights under applicable South African law.

12. Indemnity

You agree to indemnify and hold Groom harmless from claims, damages, or losses arising from your:

  • use of the Services,
  • breach of these Terms,
  • violation of third-party rights.

13. Dispute Resolution and Arbitration

13.1 Disputes may first be referred to Groom for facilitation, including the appointment of an independent expert or alternate contractor.

13.2 If unresolved, disputes shall be submitted to arbitration under AFSA rules.

13.3 Arbitration shall be conducted through law firms appointed by Groom.
13.4 Arbitration fees shall be shared equally between the customer and the service provider.
13.5 Arbitration outcomes are final and binding.
13.6 Courts may only be approached for interim relief prior to arbitration outcomes being issued.

14. Privacy and Security

14.1 Groom processes personal data in accordance with its Privacy & Cookies Policy.

14.2 Groom implements industry-standard security measures but does not guarantee absolute protection against unauthorised access.

15. Notices

15.1 Notices may be delivered via email, SMS, push notification, platform alert, or to your registered address.

15.2 Legal notices to Groom may be sent to its registered office in Sandton, South Africa.

16. Assignment

You may not assign these Terms without Groom’s consent. Groom may assign these Terms to affiliates, successors, or acquirers.

17. General

17.1 If any provision is invalid, the remainder remains enforceable.
17.2 These Terms constitute the entire agreement between you and Groom.
17.3 South African law governs these Terms.
